AI Governance and Governance of AI Are Not the Same Thing
The industry has been using two different phrases interchangeably for the past 2 years. They describe different problems, require different approaches, and failing to distinguish between them results in governance frameworks that address one while leaving the other completely unaddressed.
AI Governance. And the Governance of AI.
One letter rearranged. Entirely different disciplines.
I suppose a 3rd option would be Governance AI, which we might consider to be an actual AI model for governance, similar to Generative AI or Agentic AI. But for today, we’ll focus on the first two.
The Distinction
Governance of AI is organizational and societal. It is the framework of policies, regulations, ethical guidelines, and accountability structures that human institutions apply to AI systems from the outside. The EU AI Act is the governance of AI. A company’s responsible AI policy is the governance of AI. A board-level AI oversight committee is the governance of AI. NIST’s AI Risk Management Framework is governance of AI.
Governance of AI asks: how should society, organizations, and regulators structure the rules that constrain how AI is built, deployed, and used? It operates at the level of law, policy, and institutional design. The actors are legislators, regulators, boards, executives, and compliance teams. The timescale is quarterly reviews, annual audits, and multi-year regulatory cycles. The output is documents, frameworks, policies, and accountability structures.
AI Governance is operational and technical. It is the runtime infrastructure that evaluates every action an AI system takes, enforces behavioral boundaries, maintains auditable records, monitors for drift, calibrates trust, and halts execution when something crosses a threshold. AI Governance asks: Does this specific action, by this specific agent, at this specific moment, comply with the organizational intent and the boundaries that have been defined for it?
Governance of AI produces the rules. AI Governance enforces them.
Neither is sufficient without the other. And the industry has been conflating them in ways that lead organizations to believe they have both when they often have only one.
Why the Conflation Happens
The conflation is understandable. Both use the word governance. Both concern AI. Both involve compliance, accountability, and risk management. Both are invoked in the same conversations, by the same people, in the same documents.
The regulatory frameworks arriving for AI, including the EU AI Act, NIST guidelines, and sector-specific requirements, are governance instruments for AI. They establish what organizations must do. Article 9 requires continuous risk management. Article 12 requires record-keeping. Article 14 requires human oversight. These are requirements that governance of AI produces.
But meeting those requirements is an AI Governance problem. Article 12 doesn’t describe a policy commitment to maintaining records. It requires records that constitute verifiable evidence, in a format that is tamper-evident, attributable, and continuous. That is a technical specification. Building the infrastructure that produces that evidence is AI Governance work. The compliance team that writes the policy is doing governance of AI. The engineering team that builds the hash-chained audit trail is doing AI Governance.
Most organizations have governance of AI. They have policies. They have committees. They have principles, statements, and responsible AI guidelines and board-level oversight structures. They have done the institutional design work that governance of AI requires.
Many of the same organizations have almost no AI Governance. They have no runtime evaluation of agent actions. No behavioral contracts that are technically enforced rather than just documented. No audit trail that would withstand forensic scrutiny. No drift detection. No interrupt authority. The documents exist. The infrastructure doesn’t.
This produces a specific and dangerous failure mode. The organization believes it is governed because it has a governance structure in place. The AI systems are operating without governance because the AI Governance infrastructure was never built. The policy says what should happen. Nothing ensures that what should happen does happen.
The Institutional Parallel
This distinction has an exact parallel in how mature institutions govern other high-stakes systems.
Consider financial services. Banking regulation is the governance of the banking industry. The Federal Reserve, the SEC, the FDIC, Basel III capital requirements, and Dodd-Frank are external frameworks that define how banks must operate. They are the governance of banking.
Internal controls, transaction monitoring systems, real-time enforcement of trading limits, automated alerts when positions approach thresholds, and audit trails that satisfy regulatory examinations are examples of banking governance. The operational infrastructure that enables compliance with the external framework.
A bank that has excellent regulatory relationships, a sophisticated compliance team, and well-written policies, but no real-time transaction monitoring and no technically enforced trading limits, is not actually compliant. It governs the banking framework. It is missing the banking governance infrastructure.
The same distinction applies to AI. An organization can have a comprehensive governance structure for AI that includes board oversight, ethics principles, compliance policies, and regulatory alignment, yet still operate AI systems that act without constraint, without audit trails, and without anyone able to answer basic accountability questions in real time.
Governance of AI without AI Governance is a policy without enforcement. Rules without a mechanism that makes them real.
What Each Requires
Governance of AI requires institutional capacity. People who understand the regulatory landscape. Executives who can articulate the organization’s AI principles. Compliance processes that translate regulatory requirements into organizational policy. Board members who ask the right questions. Legal teams that understand liability exposure. These are human and organizational capabilities.
AI Governance requires technical infrastructure. Runtime evaluation engines that operate at execution speed. Behavioral contracts that are enforced, not just documented. Cryptographic audit trails that produce verifiable evidence rather than logs. Drift detection systems that monitor behavioral patterns over time. An identity infrastructure that binds every agent action to a specific verified actor. Interrupt authority that can halt execution before irreversible consequences occur.
Both require ongoing maintenance. Governance of AI frameworks needs to evolve as regulations change and organizational AI deployments mature. AI Governance infrastructure needs to evolve as the systems being governed become more capable and the threat landscape shifts.
Both require accountability chains that trace to specific humans. The governance of the AI framework designates who is responsible. The AI Governance infrastructure enables them to fulfill that responsibility with evidence rather than mere assertion.
Where Organizations Actually Are
The honest audit of most organizations deploying AI agents today reveals the same pattern.
Governance of AI: present. Policies exist. A responsible AI committee has met. Principles are published. The compliance team has reviewed the requirements of the EU AI Act. Someone has been designated as accountable for AI outputs.
AI Governance: partial to absent. The agents running in production have API credentials, not verifiable identities. The audit trail is log files, not hash-chained evidence. The behavioral scope is a policy document, not a runtime-enforced contract. The human oversight function is a dashboard that someone checks occasionally, not an interrupt mechanism that fires when a threshold is crossed.
The gap between these two states is governance debt. It accrues silently. It repays loudly when something goes wrong, and the organization discovers that having a governance of AI framework is not the same as having an AI Governance infrastructure.
The Integrated Picture
The goal is not to choose between governance of AI and AI Governance. It is to have both and to understand how they interact.
Governance of AI defines the standards. AI Governance operationalizes them. The policy says what continuous risk management means for this organization. The runtime evaluation engine implements it. The regulatory requirement specifies what records must be maintained. The hash-chained audit trail produces them. The board asks who is responsible. The AI Governance infrastructure enables evidence-based answers.
The organizations that will navigate the next phase of AI deployment well are the ones that build both layers deliberately, understand how they connect, and resist the temptation to satisfy the governance of AI requirement with a policy document while deferring the AI Governance infrastructure until something forces the issue.
Something will force the issue. It is better to have the infrastructure in place before that happens than to build it during an incident response or a regulatory examination.
Governance of AI tells you what the rules are. AI Governance enforces them. Both are necessary. Neither is sufficient alone. And they are not the same thing.
