AI Governance vs. Traditional Governance. A Difference?

I’ve been in rooms where the word “governance” gets used to mean three different things by three different people, and nobody notices. The compliance officer means policy documentation and audit trails. The security engineer is responsible for access controls and boundary enforcement. The AI vendor refers to their specific configuration of guardrails and evaluation layers.

None of them is wrong. All of them are talking past each other.

The debate about AI governance versus traditional governance has the same problem. So let’s actually dissect it. Because when you get honest about it, the differences are smaller than the industry wants you to believe, and the ones that are real are different from the ones being marketed.

What Governance Actually Is

At its core, governance is the system by which decisions get made, constrained, and accounted for. Not just what you’re allowed to do. Who decides. On what basis? With what accountability trail? And what happens when the rules are violated?

Every organization already has governance. It exists in org charts and approval workflows. In the ERP system, a purchase above a threshold requires two signatures. In the change management process, a developer is prevented from pushing directly to production. In the financial controls that require reconciliation.

These systems share a common architecture. There’s an actor who wants to do something. There are rules that define what that actor is allowed to do. There’s an enforcement mechanism that either permits or blocks the action. There’s a record of what happened. And there’s a human, somewhere, who is accountable.

Now, let’s look at the arguments people make for why AI changes that picture. And let’s be honest about each one.

The Speed Argument

AI systems move faster. They make more decisions per minute than any human could. Therefore, traditional governance can’t keep up.

Here’s what that argument leaves out: a human still programmed the agent. A human deployed it. A human decided to let it run. A human can stop it.

Speed of execution doesn’t change the authorship of the decisions being made. The agent isn’t inventing its decision criteria in real time. It’s executing a logic that a human defined. Faster execution of human-authored logic is not a new governance problem. It’s an efficiency argument dressed up as a risk argument.

The organizations that have been running automated trading systems, batch processing jobs, and high-frequency data pipelines for decades already understand this. The governance question was never “how do we slow the machine down to human speed.” It was always “how do we make sure the human who authorized this logic is accountable for what it produces.”

Same question. Same answer. Faster clock speed.

The Scale Argument

AI agents make thousands of decisions. Therefore, governance at the individual decision level is impossible.

This one also dissolves under pressure.

The human decisions that actually matter haven’t multiplied. A decision to build an agent. A decision to deploy it into production. A decision to grant it access to a system. A decision to leave it running unattended. Those are the governance-relevant decisions. The individual micro-decisions the agent makes downstream are consequences of those upstream choices.

The number of companies with “you need admin privileges to install new software” policies is not zero. That policy applies to agents just as cleanly as it applies to any other software. The same governance framework that prevents a developer from spinning up an unauthorized database also prevents an engineer from spinning up an unauthorized agent. The agent didn’t deploy itself. Someone did. That someone is governed by existing policy.

You really want to stop it, put a block on all LLMs on your firewire, and approve who gets access to those sites. That sure changes the narrative.

Scale is a monitoring challenge. It’s a real operational challenge. It’s not a governance category that didn’t exist before AI.

The Nature of the Actor Argument

AI systems don’t have intentions. They can’t be questioned or disciplined. They have no legal personhood.

True. Entirely irrelevant.

The actor with intentions is the human who built and deployed the agent. If the policy says no agents, the agent didn’t break the rule. The human who ran the agent broke the rule. If the agent exfiltrated data to a third party, the question isn’t whether the agent understood what it was doing. The question is whether the human who configured it to have that capability authorized that use. And whether that human was authorized to grant that capability in the first place.

Every governance failure involving an AI system traces back to a human decision. A human who bypassed a policy. A human who granted excessive permissions. A human who failed to establish appropriate scope. A human who deployed something without authorization. The agent is the instrument. The human is the actor that governance is designed to hold accountable.

This isn’t a loophole. It’s how we govern all tools. The knife doesn’t have intentions. The employee who misused it does.

The Behavior and Identity Argument

AI agents can exhibit unexpected behavior within their authorized scope.

Humans do this constantly. Always have. The employee who technically complied with every rule while systematically undermining a process is not a new archetype in any organization. The vendor who stayed within contract terms while delivering something unusable is not novel. The problem of authorized actors producing unintended outcomes is a governance challenge that predates computing.

The governance response is the same: tighter specifications, clearer scope definition, better monitoring, accountability mechanisms that catch pattern problems before they compound. These are mature capabilities in traditional governance. They transfer directly.

The Drift Argument

AI systems can drift in behavior over time in subtle, compounding ways.

So do humans. Arguably more so as they become increasingly dependent on tools to do their thinking for them. The employee who gradually stops applying critical judgment because a software system makes all the recommendations. The team that slowly abandons a process because nobody enforces it. The manager whose decision quality degrades as their workload expands.

Human behavioral drift is one of the oldest organizational governance problems. Performance management, regular reviews, process audits, and rotation of duties are all traditional governance responses to human drift. The principle extends cleanly. The tooling needs some adaptation. The concept is identical.

The Multi-Agent Argument

When multiple AI agents interact, emergent behavior may not be attributable to any individual agent.

This is internal collaboration without the office politics. Multiple human contributors produce outcomes that no individual owns entirely. A cross-functional team makes a decision that no individual on the team would have made. A handoff between departments results in a task that falls through the cracks because no one is responsible for the transition.

Traditional governance addresses this with process ownership, handoff protocols, documented decision rights, and escalation paths. The same mechanisms apply to multi-agent workflows. Who owns the workflow? Who is accountable for its outputs? Where are the handoff points and who is responsible for each one? These are questions traditional governance already knows how to ask.

Where the Real Difference Lives

So if the standard arguments mostly collapse under scrutiny, what actually changes?

One thing. And it’s important.

Traditional governance asks: Was this actor authorized to do this?

AI governance has to also ask: should this agent have done this?

These look similar. They’re not the same question.

Authorization is a binary state. The permission exists, or it doesn’t. The question should be contextual. It depends on behavioral history, downstream consequences, the intent behind the authorization, and the specific conditions present at the moment of action. Two identical actions by an authorized agent can yield opposite answers to the ‘should’ question, depending on a context that no permissions system was designed to evaluate.

This is genuinely new. Not because AI invented contextual decision-making, but because AI is the first category of system that takes actions at a scale and speed where the organization needs an automated answer to, in real time, every time.

Human governance answered the should question through judgment. Through professional norms. Through experience, accountability, and the implicit social contract that keeps most employees behaving in ways that align with organizational intent, even when no rule explicitly covers the situation.

AI systems don’t have any of that. They have their instructions. And instructions will never fully encode what they should.

The rest of AI governance is traditional governance applied to a new category of tool. This part is genuinely new. Not because the question is new. Because the actor has no judgment, and the question has to be answered ten thousand times a day, and getting it wrong at machine speed produces consequences that compound before any human notices.

Traditional governance infrastructure covers most of the picture. The Should Layer is what’s missing. And that gap is real, whether the rest of the argument holds up or not.
